It makes no sense that a contract would even provide a maximum notice period. Why would parties put that in? What benefit would either derive from restricting themselves to not getting earlier notice.
I read it as: we acted as quickly as we could once it became possible to do so, i.e., the change in control was completed. not that their special agreement carved out some maximum notice term.
Anyone else surprised that the maximum notice period allowed is about 3 months?
I would have thought 3 months is minimum notice period, with provisions to stop faster if any provable violation occurs.
